Adoption of Resolution 15-3489 Approving the Refunding of the Former Redevelopment Agency’s 2005 Tax Allocation Loan and 2006 Tax Allocation Bonds and Authorizing the Execution and Delivery of Legal Documents in Connection with the Refunding Adoption of Resolution 15-3495 Approving the Escrow Agreement In Connection with the Fillmore Public Financing Authority’s 2005 Revenue Bonds Recommendation: It is recommended that the City Council/Successor Agency: [PAGE 4] 1) Adopt Resolution 15-3489 approving the refunding of the former redevelopment Agency’s 2005 tax allocation Loan and 2006 Tax Allocation Bonds and authorizing the execution and delivery of various legal documents (i.e., the Indenture, Escrow Agreements, Bond Purchase Agreement, and Continuing Disclosure Agreement/Certificate) in connection with the refunding in a form approved by bond counsel. The following alternatives are available to the city Council/Successor Agency/Fillmore Public Financing Authority: 2) Do not approve Resolution 15-3489. 3) Provide other direction to staff. It is recommended that the Fillmore Public Financing Authority: 4) Adopt Resolution 15-3495 approving the escrow agreement in connection with the refunding of the 2005 Bonds. CONFERENCE WITH LEGAL COUNSEL – EXISTING LITIGATION – The City Council will conduct a closed session, pursuant to Government Code section 54956.9(d)(1), to confer with legal counsel regarding litigation to which the City is a party. The title of such litigation is as follows: Fillmore Senior Center, Inc. vs. City of Fillmore, et al.; Case Number 56-2015-00466382-CU-BC-VTA; Superior Court of California County of Ventura. C. CONFERENCE WITH LEGAL COUNSEL – ANTICIPATED LITIGATION. The City Council will conduct a closed session, pursuant to Government Code sections 54956.9(d)(2) and (d)(3), because there is significant exposure to litigation in one case. 16.
